Agreement Between “Selldelhi” & “Franchise”

This agreement is made on this ______ Day of _______ 2009 between

M/s One Four Three Point, a company incorporated under the Companies Act, 1956 and having its registered office at Shop No-143 First Floor, Market No-2, C.R. Park, New Delhi-110019 hereinafter called the “Company”. Represented by their authorized signatory- Yogesh Gupta, which term shall unless excluded by or repugnant to the context shall include its successors and assigns.

M/s ______________________________________________________________, a company having its office at_____________________________________________
________________________, through its authorized representative Mr/Ms. ______
________________________ (hereinafter called the ‘Franchise’) which term shall unless excluded by or repugnant to the context shall include its successors and permitted assigns.

Whereas the Company under the business trade mark ‘Selldelhi’, specialized in supply of travel and related services through different channels. It is India’s premier travel service company and having the goodwill and expertise in this sphere of selling travel services.

And WHEREAS the ‘Franchisee’ is desirous of executing sale of travel and travel related services and other products of the Company with the permission of the ‘Company’ from their premises specified below.

FRANCHISEE FEE/MARGINS
The ‘Franchisee’ shall pay a one time non-refundable ‘Franchisee’ fee of Rs. ________ (Rs._____________ Thousand Only) to the ‘Company’ for granting permission to the ‘Franchisee’ to sell the “Company’s” product under its business Trade Mark ‘Selldelhi.com’. This payment will be made by the ‘Franchisee’ at the time of signing of this contract by a Payee’s Account cheque in favor of the ‘One Four Three Point’.

Tenure/Team
This agreement has been entered into for a period of 3 (three) years from the date of this agreement. This agreement may be extended for a period of another 3 (three) years as mutually accepted terms and conditions between the parties. Any further extension may also be done at mutually accepted terms and condtions by both parties.

TERMINATION BY ‘COMPANY’
The agreement shall stand terminated at the option of the ‘Company’ if there is violation of any of the terms of this agreement by giving the ‘Franchisee’. The Company’ may, at any time during the term of this agreement terminate the agreement by giving the ‘Franchisee’ advance notice in writing of 60 days. All the obligation of the ‘Franchisee’ as set out in the ‘Obligation after termination’; including obligation of ‘Confidentiality’ and ‘Non-disclosure’ in this agreement will still apply
